Healist Naturals Authorized Retailer Purchase Terms and Conditions

Healist Naturals ("Healist Naturals") has established these Authorized Retailer Purchase Terms and Conditions ("Terms"), which apply to retailers of Healist Naturals products ("Products") in the United States of America. By purchasing Products from Healist Naturals for retail sale, you ("Retailer," "you," or "your") agree to comply with the following Terms. Please read these Terms carefully. Retailer shall be considered an "Authorized Retailer" unless and until such status is revoked by Healist Naturals in its sole discretion.

1. Purchase Orders and Products

Orders for Products ("Purchase Orders") made by Retailer shall be processed per Healist Naturals' current order, shipment, and return procedures, which may be amended at any time. Healist Naturals reserves the right to reject any Purchase Order, in whole or in part, for any reason and to modify or discontinue any Product without notice.

2. Manner of Sale

Retailer shall sell the Products only as outlined in these Terms. Failure to adhere to the following conditions may result in loss of Authorized Retailer status.

(a) Authorized Customers

Retailer shall sell Products solely to End Users, defined as consumers who do not intend to resell the Products. Retailer shall not sell quantities exceeding what an individual would typically purchase for personal use. Retailer may not sell Products to any person or entity for resale, including B2B accounts, wholesalers, freight forwarders, or dropshipping services, without prior written consent from Healist Naturals.

(b) Geographic Restrictions

Retailer shall not sell, ship, or invoice Products to customers outside the United States without prior written consent from Healist Naturals.

(c) Online Sales

(i) Retailer is permitted to market and sell Products only through Permissible Websites, which:

  1. Are operated by Retailer in its legal name.

  2. Clearly display Retailer’s full legal name, mailing address, telephone number, and email address.

  3. Do not appear to be affiliated with Healist Naturals or any third party.

  4. Do not include Healist Naturals’ trademarks in the domain name.

Healist Naturals may revoke online sales approval at its discretion, requiring Retailer to cease all online sales immediately upon notice. Retailer may not sell Products on third-party marketplaces such as Amazon, eBay, Walmart Marketplace, or similar platforms without prior written consent from Healist Naturals.

(ii) Retailer is responsible for all fulfillment, tax obligations, and returns related to online sales. Retailer shall not use third-party fulfillment services without prior written authorization.

(iii) Retailer’s Permissible Websites must comply with all applicable privacy, accessibility, and security laws, including Web Content Accessibility Guidelines (WCAG) and Payment Card Industry Data Security Standards (PCI DSS). Retailer must maintain accurate and up-to-date product descriptions and images provided or approved by Healist Naturals.

3. Dropshipping Prohibition

Healist Naturals does not engage with or authorize dropshipping. Retailer is solely responsible for all aspects of order fulfillment between itself and the end user. Retailer may not use third-party logistics providers, fulfillment services, or dropshipping companies to store, sell, or distribute Healist Naturals Products unless explicitly approved in writing.

4. Sales Practices and Inventory

Retailer shall use best efforts to market and sell the Products ethically and lawfully. Retailer must maintain adequate inventory and adhere to all applicable laws regarding advertising and sales practices. Retailer shall not alter, repackage, or modify the Products or their labeling in any way.

5. Customer Service

Retailer must be knowledgeable about Healist Naturals’ Products and provide accurate guidance to customers regarding use, warranties, and return policies. Retailer shall promptly respond to customer inquiries and concerns in a professional manner.

6. Product Care and Quality Control

Retailer must handle and store Products in a manner consistent with Healist Naturals' guidelines, ensuring products remain in original packaging and are not expired, damaged, or tampered with. Retailer must cooperate with any product recalls or consumer safety measures initiated by Healist Naturals.

7. Marketing

Retailer is responsible for ensuring that all marketing efforts related to Healist Naturals Products adhere to the highest standards of accuracy and compliance. Retailer must use imagery that is up-to-date and accurate, in addition to any product descriptions. To the best ability, with the exception of held inventory, Products must reflect availability on the Healist Naturals wholesale website. Any promotional materials, digital or print, must be approved by Healist Naturals before distribution to ensure brand consistency and compliance with applicable regulations.

8. Intellectual Property

Healist Naturals owns all rights to its trademarks, logos, branding, and marketing materials ("Healist Naturals IP"). Retailer is granted a limited, non-transferable license to use the Healist Naturals IP solely for the purpose of marketing and selling the Products in compliance with these Terms.

9. Returns and Refunds

Retailer is responsible for handling returns and refunds for its customers. Healist Naturals does not accept returns or offer refunds for purchases made by a retailer’s customers. Purchases made from entities other than the Healist Naturals website are not eligible for return, credit, or exchange. Customers should contact the retailer from whom they purchased the product to inquire about their return or exchange policy.

Items purchased directly from Healist Naturals' website are eligible for return or refund within 30 days of receipt. Shipping charges are not refundable. Returns must be sent via USPS, UPS, or FedEx, and any shipping costs incurred for the return are the responsibility of the customer. If returning a product by mail, it is recommended to use a carrier that provides tracking, as Healist Naturals is not responsible for packages lost in transit. Packages must be postmarked within 30 days of receipt to be eligible for a refund or exchange.

Refunds may take up to 5-7 business days to process after receipt of the returned package, with additional time required for the funds to post to a customer's financial institution. Returns on expired items will not be accepted.

10. Termination

If Retailer violates these Terms, Healist Naturals may immediately revoke Authorized Retailer status. Upon termination, Retailer must cease all sales, remove Healist Naturals branding from its materials, and return or dispose of remaining inventory as directed by Healist Naturals.

11. Indemnification

Retailer shall indemnify and hold harmless Healist Naturals from any claims, damages, or liabilities arising from Retailer’s breach of these Terms or its misconduct in selling the Products.

12. Limitation of Liability

Healist Naturals shall not be liable for indirect, incidental, or consequential damages related to the sale or use of its Products. Healist Naturals' total liability shall not exceed the amount paid by Retailer for the affected Products in the preceding six (6) months.

13. Governing Law and Miscellaneous Provisions

These Terms shall be governed by the laws of the State of Kansas. Any disputes shall be resolved in the state or federal courts located in Shawnee County, Kansas. Retailer waives the right to a jury trial in any legal proceeding related to these Terms.

Healist Naturals reserves the right to amend these Terms at any time. Continued sales of the Products constitute acceptance of any updates. If any provision of these Terms is deemed unenforceable, the remaining provisions shall remain valid and in effect.
